Terms & Conditions
These terms set out the basis on which Naga Logic provides consulting services and operates this website. Please read them at your own pace and contact us if you have any questions.

1. Acceptance of Terms
By using this website or engaging our services, you confirm that you have read and agree to these Terms and Conditions. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation.
These terms apply to all visitors to our website and to all clients who enter into a service engagement with Naga Logic. If you do not agree to these terms, please discontinue use of this website and do not proceed with an engagement.
2. Our Services
Naga Logic provides AI integration consulting services, including but not limited to:
- AI Readiness Reviews for organisations considering AI adoption
- Workflow Integration Setup connecting AI capabilities to existing tools
- Managed AI Assistant Programmes for broader organisational rollouts
- Related advisory, training and documentation services
The precise scope of any engagement is confirmed in a written proposal or statement of work agreed between Naga Logic and the client before work begins. We reserve the right to decline any engagement that falls outside our areas of competence or that we consider inappropriate for any reason.
3. Engagement Process
Proposals and agreements
Following initial discussions, we will prepare a written proposal outlining the scope of work, deliverables, timeline and fee. An engagement begins when both parties have confirmed agreement in writing, which may be by email or by signing a formal engagement letter.
Changes to scope
If the scope of work changes materially during an engagement, we will prepare a written change note setting out any revised deliverables, timelines or fees. Work on changed scope begins once both parties have agreed the change note in writing.
Subcontracting
We may engage trusted associates or specialist subcontractors to assist with specific elements of an engagement. We remain responsible for the quality of all work delivered under our name and will not subcontract work without reasonable cause.
4. Fees & Payment
Pricing
Fees are as stated in our proposals and are quoted in Thai Baht (฿) inclusive of any applicable VAT unless otherwise stated. Prices shown on this website are indicative starting points; the final fee for your engagement is confirmed in the written proposal.
Invoicing and payment terms
Unless otherwise agreed in writing, our standard payment terms are:
- 50% of the agreed fee is invoiced at the start of an engagement
- The remaining 50% is invoiced upon delivery of the final deliverable or at the end of each month for ongoing engagements
- Payment is due within 30 days of the invoice date
Late payment
We reserve the right to suspend work on an engagement if an invoice remains unpaid 14 days beyond its due date. We will notify you before suspending work and will resume promptly once payment has been received.
5. Client Obligations
A successful engagement depends on both parties contributing. As a client you agree to:
- Provide accurate and timely information we need to carry out the work
- Make a suitable contact person available for questions and reviews during the engagement
- Ensure that any data or systems you give us access to may lawfully be shared with us
- Review and give feedback on draft deliverables within a reasonable time
- Obtain any internal approvals needed to implement agreed recommendations
We are not responsible for delays or shortfalls in deliverables that arise from a lack of access to information, systems or key contacts on your side.
6. Intellectual Property
Deliverables
On receipt of payment in full, ownership of the deliverables prepared specifically for your engagement passes to you. You may use them freely within your organisation.
Background IP
Methodologies, frameworks, tools and templates that we bring to an engagement and that existed before or were developed independently of your engagement remain our property. We grant you a non-exclusive licence to use these within your organisation for the purposes of implementing our recommendations.
Website content
All content on this website — including text, graphics, structure and design — is owned by or licensed to Naga Logic. You may not reproduce, distribute or adapt any part of it without our prior written permission.
7. Confidentiality
Both parties acknowledge that they may receive confidential information from the other in the course of an engagement. Each party agrees to:
- Keep the other's confidential information secure and use it only for the purposes of the engagement
- Not disclose confidential information to any third party without prior written consent, except to employees or contractors who need it to carry out the engagement and who are bound by equivalent obligations
- Return or securely delete confidential information on request at the end of the engagement
These obligations do not apply to information that is already publicly available, that was known to the receiving party before disclosure, or that must be disclosed by law.
8. Limitation of Liability
We take our work seriously and aim to deliver thoughtful, well-considered output. However, we make no representation that implementing any recommendation will produce specific business outcomes, as results depend on many factors outside our control.
To the extent permitted by Thai law, our total liability to you in connection with any engagement shall not exceed the fees paid by you for that engagement in the twelve months preceding the claim. We shall not be liable for any indirect, consequential or economic losses, including loss of profit, loss of data or loss of business.
Nothing in these terms limits our liability for fraud, wilful misconduct or any liability that cannot be excluded by law.
9. Termination
Termination by either party
Either party may terminate an engagement by giving 30 days' written notice. If you terminate during an active engagement, you agree to pay for all work completed and reasonable costs incurred up to the effective date of termination.
Termination for cause
Either party may terminate immediately if the other commits a material breach of these terms that is not remedied within 14 days of written notice identifying the breach, or if the other becomes insolvent or ceases to trade.
Effect of termination
On termination we will deliver to you any completed work product. Clauses relating to confidentiality, intellectual property, liability and payment of outstanding amounts survive termination.
10. Website Use
You may use this website for lawful purposes only. You agree not to:
- Attempt to gain unauthorised access to any part of the website or its underlying systems
- Use automated tools to scrape or harvest content from the website without our consent
- Introduce malware, viruses or other harmful code
- Use the website in a way that could damage our reputation
We make reasonable efforts to keep the website available and accurate, but we do not guarantee uninterrupted access or that all information is current at all times. Links to third-party websites are provided for convenience; we do not endorse their content.
11. Governing Law
These Terms and Conditions and any engagement between Naga Logic and a client are governed by the laws of the Kingdom of Thailand. Any dispute that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
12. Changes to These Terms
We may update these Terms and Conditions from time to time. We will update the "Last updated" date at the top of this page when we do so. Changes do not affect engagements that are already underway under a signed proposal unless both parties agree in writing. For new engagements, the version of these terms in effect at the time of the proposal applies.
